Senior Corporate Counsel

Senior Corporate Counsel The candidate will support corporate social responsibility and environmental, social and governance (ESG) initiatives and programs, including preparation of the annual ESG/Sustainability report, engagement with shareholders, responding to ESG focused inquiries and partnering with key internal stakeholders. Support corporate governance, including board of directors and shareholder matters. Support maintenance of corporate governance policies and charters. Support subsidiaries, executive compensation, global equity and other corporate legal matters. Support global compliance program, including due diligence of third-parties, maintain and enhance policies, data analysis, update systems and processes, enhance training and provide training to various business groups at different locations. Support SEC public reporting, including preparation and filing of periodic reports, proxy statements, registration statements, Section 16 filings and other disclosures. Assist with cyber security matters as needed. Assist with M&A and strategic transactions on corporate governance and compliance matters. The candidate should have a J.D. degree and bar admission (California preferred). Should have 3+ years experience; at least 3 years as a general corporate attorney at a top-tier law firm. Ability to work collaboratively as part of a team; must have desire to work on a variety of legal matters. Must have excellent written and verbal communication skills, with strong attention to detail. Excellent organization and time-management skills, with ability to multitask and set priorities to meet deadlines.
