Corporate Attorney Duties: Provides legal advice, guidance, and support on matters relating to business transactions including preparing and reviewing various legal instruments and documents such as contracts, leases, licensing, non-disclosure agreements, banking, and other agreements. Prepares, reviews, and counsels on new contracts, amendments of existing agreements, and the application of legacy agreements. Provides legal advice, guidance, and support on corporate transactions including capital contributions, acquisitions, consolidations, divestitures, and dissolutions; such as acting as legal counsel in due diligence reviews of potential acquisitions. Provides legal counsel, guidance, and support on employment-related matters. Provides legal advice, and guidance on regulatory matters, such as licensing, filings and privacy, with a focus on monitoring and advising of the operational impacts associated with cybersecurity and data protection legislation and regulations (e.g. the California Consumer Privacy Act, NAIC Insurance Data Security Model Law). Provides legal advice, guidance, and support on corporate governance matters. Provides legal advice, guidance, and counsel to the Director of Compliance on regulatory and corporate developments affecting compliance with internal policies and outside requirements. Establishes and maintains effective working relationships, both internally and externally. Develops creative ideas and solutions to real-time business problems and/or business opportunities; takes reasonable, calculated risks even if failure is possible. Empowers self and teammates to continuously improve the Company s business processes/ systems and develops and escalates ideas and solutions. Consistently delivers superior customer service to both internal and external business partners. Demonstrates alignment with the Company s Commitments. Prioritizes and organizes work in a self-directed manner. Attains and maintains knowledge of the assigned department. Performs other duties as required, including supporting and coordinating with other department colleagues. Qualifications: Juris Doctorate and Admission to a State Bar. 5-8 years of corporate law experience, preferably within or serving the insurance industry. Talented in corporate, transactional, and insurance law. Exceptional written and spoken communication skills. Able to effectively manage difficult, demanding, and varied assignments. Strong interpersonal skills, stressing teamwork and innovation. Outstanding judgment, professionalism, and analytical skills. Customer service-oriented with the ability for developing long-lasting relationships with internal and external business partners.
