Assistant Corporate Counsel Assistant Corporate Counsel Responsibilities: Maintain the Company's stock incentive program - evaluating and ensuring data accuracy for all stock vestings, grants, exercises, terminations, share transfers and sales. Administer Employee Stock Purchase Program. Administer the Management Stock Purchase Plan. Prepare Section 16 filings and monitor insiders trading activity. Manage the trading window within the Company's stock plan administration platform (Solium Shareworks). Communicate and work with Legal, Accounting and HR with respect to the incentive stock program, including generating stock-based compensation-related reports. Manage disqualifying disposition surveys and reporting. Manage employee stock service award program by tracking awards and entering grants into stock plan administration platform (Solium Shareworks). Opportunities to support the broader legal function, including assisting with: M&A transactions, including preparing NDAs and term sheets, leading or participating in due diligence efforts and reviewing transaction documents; Drafting and reviewing SEC filings, interacting with Nasdaq, and capital markets transactions; International expansion efforts, including corporate entity formation and filings; Corporate governance matters, including preparing board materials, entity management, and expanding ESG; Reviewing and negotiating customer contracts; and Reviewing and advise on third party data and vendor contracts.

Qualifications: JD Degree from accredited law school with excellent academics. Licensed to practice in at least one jurisdiction. Willingness to apply to D.C. Bar, if not already licensed to practice in D.C. 1-3 years ? relevant experience as an Associate or Staff Attorney at a top law firm. Experience with stock-based compensation and Section 16 reporting matters. Excellent organizational, interpersonal, written and oral communication skills. Ability to multitask, prioritize and adapt to changing priorities. Exceptional attention to detail, especially with numbers. Proficient in Microsoft Office ? Word and Excel. Ability to provide high quality customer service. Independent and self-motivated. Preferred Qualifications: Experience with the Solium stock plan administration platform. Excellent project management skills. General corporate experience, including any of mergers and acquisitions, SEC reporting and other public company matters, and corporate governance.
