Corporate Counsel Duties: Support the AGC, Corporate & Commercial with a diverse range of responsibilities, primarily focused on corporate governance, securities law reporting and compliance, and mergers and acquisitions, but some commercial transaction work as well. Though a private company, our debt documents and shareholder agreement necessitate our compliance with many SEC reporting requirements. Assist in corporate secretary functions, including drafting Board and Committee meeting minutes and written consents and development of meeting agendas. Assist with SEC disclosure reports and filings, including annual, quarterly, and current reports and other periodic filings; research and answer questions on general securities and corporate governance matters. Assist in drafting and reviewing other public disclosures and corporate communications, including press releases and blogs. Assist AGC, Corporate & Commercial on mergers and acquisitions and other strategic transactions and support all phases of deals including due diligence and document preparation. Provide legal services to corporate functions including Finance, Treasury and Real Estate. Manage the Company's related party transactions. Assist with beneficial ownership reports and filings, and manage company blackout periods and blackout lists. Prepare, review and negotiate a variety of agreements, requests for proposals and other legal documents. Assist with the Company's policies on industry-specific and general compliance issues including Insider Trading Policy and FCPA. Manage external counsel in accordance with outside counsel guidelines, within specified budgetary limits, and in line with management's expectations. Work collaboratively across the Legal Services vertical and all of Legal, particularly Legal Operations, to build consensus on process improvements and drive legal projects to completion. Qualifications: JD Degree from an ABA accredited law school and admission to, and good standing with, a state bar. Can be licensed in any state. 4-6 years of experience in a law firm or major in-house legal department with an emphasis/focus on corporate law experience. Experience with SEC disclosure requirements preferred. Ability to collaborate with colleagues and take a business-oriented approach while identifying and balancing risks and providing succinct, accurate and pragmatic advice. Exceptional analytical, negotiation, problem-solving, decision-making, and risk assessment skills. Independent judgment, attention to detail, a desire to learn, and an ability to take on and prioritize a wide variety of complex matters while meeting tight deadlines. Creative problem-solving ability with a focus on achieving client-friendly solutions while managing company risk. Willingness and ability to travel as needed.
