Corporate Counsel - U.S. Retail Duties: Be part of a team that provides day-to-day legal support to all aspects of US registered funds team. Support the firm's proprietary funds and unaffiliated funds for which our client serves as a sub-adviser, covering a broad range of asset classes and a wide range of registered fund vehicle types, including closed-end funds and alternative investment vehicles. Counsel firm-wide personnel in navigating portfolio management, distribution, investor relations, and operational challenges. Review, negotiate, and manage numerous organizational documents, contracts, offering documents, marketing materials, proxy materials, due diligence questionnaires, and policies and procedures with respect to regulatory and transactional elements of fund formation and operation. Oversee planning, review, and filing of registration and disclosure documents with applicable regulators. Examine, plan, and implement legal aspects of product initiatives, including fund launches, restructurings, and reorganizations. Advise on investor relations and service efforts, including mutual fund shareholder servicing, transfer agent oversight, client onboarding, and transition management. Offer legal counsel to promote compliance with applicable laws and regulations and respond to regulatory inquiries and examinations. Interpret, analyze, and provide guidance on major regulatory initiatives. Sustain an awareness of existing and proposed regulatory initiatives, industry trends, and best practices.

Qualifications: Excellent academic background, including a Juris Doctor degree from a well-respected law school. 5+ years of relevant experience as an attorney; law firm experience is required, and in-house experience is strongly preferred. Strong knowledge of the regulatory framework governing mutual funds, closed-end funds and investment advisers, including the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and other relevant laws and regulations.. Ability to handle multiple tasks, take on new responsibilities, and prioritize work in a deadline-intensive environment. Proactive, energetic, and pragmatic approach to business and legal issues that is oriented toward finding solutions. Excellent communications skills, including the ability to distill and explain technical and/or complex matters to non-lawyers. Influence and presence to gain credibility with and the respect of key internal and external constituencies, including his/her manager, colleagues, and senior business leaders. Active listening skills, including the ability to attend to the concerns of senior managers and business leaders. Strong team orientation values and emphasizes cooperation and teamwork across functional areas. Ability to function autonomously.
