Senior Corporate Counsel - Funds Duties: Support the firm's investment management business as part of a dynamic legal team. Provide pro-active legal advice and compliance support to our institutional asset management business. Be a key contributor to the firm on a wide variety of legal and business matters with respect to fund formation and ongoing operations as well as day-to-day support to the firm's clients and key business groups such as trading/portfolio management, investment services, client operations/relationship management and business development. Providing assistance on general legal matters, including drafting and review of documents related to new private fund/product structuring and launches (including offering memorandums, limited partnership agreements, subscription documents and side letters) and assisting with ongoing fund matters, marketing materials (US and foreign), private fund regulatory issues and other investor relations items. Reviewing and drafting private placement memoranda, commitment letters, engagement letters, partnership agreements, side letters, credit facility documentation, restructuring support agreements, bid letters, confidentiality agreements and vendor agreements. Serve as an important nexus between fund formation attorneys and real estate transaction attorneys and the broader Legal and Compliance team. The candidate will also work cross-functionally across the firm and will collaborate with the acquisitions, portfolio and asset management, accounting and finance, investor relations, capital markets and tax teams. Providing assistance on firm compliance matters, including regulatory filings (Advisers Act, Exchange Act), etc. Oversight and management of outside counsel. Assisting the Firm and its investment team with political outreach, research and activity. Qualifications: JD Degree from top law school required along with strong academic track record. Licensed to practice law in the state of Texas. 8+ years of combined experience within a top law firm and alternative investment fund or financial institution. Professional and trustworthy with confidential and sensitive information. Excellent interpersonal and communication skills (written and verbal). Experience working in a law firm or in-house setting. Strong analytical skills, attention to detail, well organized, and proven ability to multi-task. Able to work well under pressure in a fast paced environment. Must be a self-starter, independent worker and quick learner. Highly confident, articulate, self-motivated, self-sufficient, and enthusiastic individual who is a team player. Entrepreneurial mindset with the ability to focus on outcomes over output. Ability to be productive in a fast-paced environment and manage time-sensitive client projects. Excellent written and oral communication skills.
