Associate General Counsel - Corporate And Commercial

Associate General Counsel - Corporate and Commercial Candidate will be a cross-functional advisor to teams on corporate law and commercial contracting law matters, helping to appropriately balance contractual and corporate legal risk with business opportunities and priorities. As a key member of the Legal team, will provide cutting edge legal advice, analysis, and ideas to enable teammates to do their best work. Will report to the Deputy General Counsel and collaborate closely with leadership and other internal teams. Specifically, will: Enable teams to pursue commercial or partnership opportunities by timely preparing, reviewing, and negotiating all related agreements, including vendor agreements, strategic partnership agreements, supplier and wholesaler agreements, NDAs, employee agreements, and other agreements. Advise teams on legal issues and risks in contractual relationships and mitigate contractual risk by negotiating a resolution with third parties. Develop and improve upon form agreements and legal processes. Assist with various securities law, corporate governance, and general corporate law matters. Support the growth and longevity of the business as a whole by working with the Legal team and leadership on corporate transactions and financings. Create in-house corporate law and commercial contracting resources and stay up-to-date on corporate and commercial legal developments. Provide support on other legal matters as needed. Requirements: Licensed to practice law and in good standing with at least one state bar (New York preferred). 3-5 years of experience in corporate and commercial transactional work at a national law firm and/or in-house legal department (experience working at a healthcare start-up is a plus). Excellent problem-solving capabilities, business judgment, and interpersonal skills. Strong written and verbal communication skills, including a track record of distilling and communicating complex legal principles to business teams and other individuals with non-legal backgrounds. Demonstrated ability to manage workloads, multiple demands, and shifting priorities.
