Director Corporate Counsel - Commercial Contracts

Director Corporate Counsel - Commercial Contracts The candidate will support business leaders in the structuring, drafting, and negotiating a wide variety of general commercial contracts supporting procurement, operations, marketing, information technology, and other functions, including master and professional services agreements, vendor, consultant and supplier agreements, technology and IT agreements, and other agreements to support the business. Provide legal and strategic business advice to mitigate or manage risk. Foster relationships with key stakeholders. Advise management and business groups on all aspects of commercial contracts and handle pre-litigation commercial disputes and inquiries. Oversee outside counsel when engaged on certain commercial contracting projects. Become a subject matter expert in Brookdale's procurement programs and drive efficiencies in the contracting process. Implement and update standard contract terms and templates as needed. Remain current on legal decisions, statutory changes and other developments, and advise clients accordingly. Assist with other projects identified by the Company's Legal Department from time to time. The candidate should have a J.D. degree with 5+ years of corporate, commercial contracts, or transactional-focused law practice. Experience with the senior living industry is preferred. Must have excellent communication, presentation and project management skills. Admission to practice law in Tennessee, or ability to become admitted without examination. Makes analytical decisions and is accountable for all actions made by a department or group. Uses a high degree of analytical ability using sound judgment acquired through significant experience to solve complex and varied problems that could result in substantial loss of reputation. Significant knowledge of an advanced discipline with a working knowledge of related fields. Significant knowledge of the organization, work environment and process. Knowledge to direct multiple functions and/or departments with full responsibility for operational results.
