Part-time Corporate Counsel

Part-time Corporate Counsel Responsibilities: Draft and negotiate a wide variety of commercial agreements, including product sourcing agreements, GPO/IDN and other client agreements, warehousing, distribution and fulfillment services agreements, NDAs, consulting agreements, and marketing and consulting agreements, IT and training agreements, and other legal documents as needed and directed by General Counsel. Review existing business agreements and policies and provide guidance on rights and obligations. Leverage legal expertise to create practical solutions to operational priorities requiring supplier or vendor support with or without established precedent. Assist and support the Director of Compliance with document management and records retention compliance and completion of the company's annual compliance and control review and other audits.

Qualifications: Law Degree, JD Degree or equivalent. 3+ years experience in legal field or related. Ability to clearly, concisely, and comprehensively draft complex concepts, provisions, and deal structures into contracts. Efficiently manage a large volume and variety of transactions, negotiate numerous standard and complex corporate and commercial agreements while balancing appropriate legal and business risks. Demonstrated ability to maintain the utmost level of discretion and confidentiality of sensitive and highly confidential information Ability to collaborate cross-functionally (sales, marketing, IT, HR, finance, customer service, warehouse etc.) to achieve business objectives. Strong analytical, research and problem-solving skills. Outstanding communication skills both written and verbal. Strong attention to detail and accuracy. Able to organize and prioritizes tasks. Strong interpersonal skills and the ability to resolve conflicting interests and obtain cooperation. Intermediate to advanced level of proficiency in MS Outlook, Word and Excel. Able to define problems, collect data, establish facts and draw valid conclusions. Goal centered motivation; results-driven. Desire to belong to a team and contribute to the success of the larger organization.
