Counsel, Securities & Corporate Duties: Provide assistance with the drafting and filing of all securities and disclosure documentation Support all securities matters (1933 Act and 1934 Act). Assist with the hands-on completion of the legal team's document workflow (e.g., general corporate matters and reviewing, revising and/or negotiating NDAs, engagement letters and various other agreements) as well as supervise outside counsel on several matters. Assist with financing arrangements and other capital markets activities, corporate and tax structuring matters and other special projects as needed. Support M&A and other strategic growth transactions and initiatives. Review of announcements, press releases, investor presentations, investor and board communications and other materials (including preparation of appropriate materials as necessary). Remain up to date on relevant corporate governance and securities law developments. We are generalists who oversee a variety of legal and regulatory considerations in our industry. Qualifications. Education:. JD required with a strong academic background. California Bar membership or ability to qualify as a registered in-house counsel in California Experience Required:. 3-5 years of relevant experience at a top-tier law firm and/or in-house. Significant collaboration with colleagues across multiple functions, including those in senior and executive leadership. Proven record of accomplishment in relationship management with internal and external stakeholders.

Excellent time management skills and ability to collaborate with others. Outstanding leadership and project management capabilities. Outstanding organizational skills with attention to detail. A demonstrated ability to research and leverage available resources to accomplish the task at hand. Good judgment in terms of escalating issues vs. solving problems independently. Comfort in dealing with ambiguity and uncertainty in a dynamic and fast-paced environment. Energetic, self-motivated, and team-oriented approach; a zest for challenges in a fast-paced, dynamic environment ? often under pressure to meet demanding deadlines.
