Associate General Counsel, Governance & Securities

Associate General Counsel, Governance & Securities Duties: Serve as primary legal counsel on SEC reporting and compliance, including 10-K, 10-Qs, and 8-Ks, among other securities filings, and advise on Section 16 reporting. Partner with Investor Relations on materials for earnings calls and investor events. Oversee policies and procedures relating to public company securities law compliance and disclosure matters. Assist with Board of Directors meetings including preparation of reports and related materials. Provide advice regarding subsidiary management and corporate recordkeeping. Lead legal work-streams relating to securities offerings, stock repurchase programs, stock buybacks and other capital markets transactions. Advise on relevant laws concerning investment advisors and broker-dealers. Assist with Treasury matters including banking arrangements, cash management, and debt covenant compliance. Ensure compliance with NYSE listed company rules. Monitor emerging trends and recommend enhancements to policies and procedures to reflecting the evolving laws and best practices. Manage one or more bank legal professionals and outside counsel. Qualifications: JD Degree from an accredited law school. 10 years of experience working as an attorney at a law firm or corporation. Ability to exercise sound judgment to identify risks and convey advice. Ability to interact confidently and respectfully with peers. Detail-oriented and process-driven. Responsive and reliable. Self-motivated and enthusiastic about identifying areas to add value. Member of the State Bar of Texas, or the ability to obtain.
