Counsel 4, Middle Market Banking The candidate will be working with a team of attorneys and paralegals to support's Business Banking segment within Middle Market Banking which serves the credit needs of companies with annual sales typically ranging from $5 million to $50 million and serving as the ECOA/Reg B subject matter expert for the commercial lending lines of business. Supporting the selection and/or implementation of lending platform solutions for origination, underwriting, portfolio management, and document generation. Advising on the creation of and modifications to loan form templates and related systems. Supporting and collaborating with cross-functional support partners, including Credit, Compliance, Risk, Control, Operations, and Strategy.

Qualifications: Must have 8+ years of experience as a practicing attorney; or 6+ years of experience as a practicing attorney and 2+ years of legal-related experience in one or a combination of the following areas: risk, compliance, contracts, government, regulatory, financial services, or technology. Active State Bar membership. Have knowledge of, and experience advising on, ECOA/Reg B and related regulatory guidance and/or have the desire and ability to develop into a fair lending subject matter expert to mitigate fair lending risk in commercial lending. Desired Qualifications: Ability to analyze legal and regulatory issues in the area of practice and provide effective advice to clients on complex legal matters. Extensive experience conducting research and providing counsel and guidance regarding complex legal issues. Strong attention to detail and accuracy skills. Excellent verbal, written, and interpersonal communication skills. Ability to effectively organize and prioritize work while handling multiple matters. Ability to work effectively in a complex environment with a high degree of collaboration. Effective in building partnerships, functioning well with project teams, and working for the success of the team. Commercial lending experience, including drafting and negotiating commercial loan documentation, collateral perfection, portfolio servicing, and lien release/subordination matters. Experience with real and personal property secured loan transactions. Bankruptcy, workout, and collection experience originated by the Business Banking segment. Advising the commercial lending lines of business on ECOA/Reg B issues to define, identify, control, manage and mitigate fair lending risk in the context of commercial lending. Advise on other lending-related laws, rules, and regulations (including, Flood, UCC Article 9, other federal/state/local laws, etc.) and any resulting impact to forms, policies, or procedures.
