Technology Contracts Attorney (SW, HW SaaS, etc) The candidate will draft a broad range of technology and commercial agreements, including SaaS (software-as-a-service) and software licensing agreements, cloud computing agreements, hardware supply sourcing, and professional services, product development, content and data security/processing agreements. Provide legal advice and practical solutions with respect to contractual provisions in support of a fast-paced business environment. Work with and advise business clients in a variety of functional areas, both in writing and via in-person meetings. Partner closely with a broad set of stakeholders to develop and implement best practices and process improvements for sourcing, vendor optimization and contract management. Ensure evaluation of risk and consistency in policies and processes in support of business objectives with respect to contracts, including identifying critical legal issues, assessing potential legal options, and providing individuals and teams with analysis and a range of possible legal solutions. Perform contract management duties, including coaching and training personnel on the use of contract management systems. The candidate should have a Juris Doctorate. Admission and member in good standing of the bar of New York. Should have 2+ years of experience. Experience drafting and negotiating a broad range of technology-related agreements is required. Sound judgment and ability to assess issues and risks and the ability to perform well under tight deadlines and thrive in a rapidly evolving environment. Strong working knowledge of software licensing, global data privacy and security laws and best practices. Experience working with and advising business clients directly, as well as providing guidance and practical solutions on various transactions, preferably in an in-house environment. Experience working with/managing a contract management system. Proven ability to manage projects, prioritize work, multi-task effectively, and respond to shifting priorities. Proven ability to thrive in a large, fast-paced environment with a high level of responsiveness, professionalism and outstanding business judgment. Flexibility to project manage and/or oversee discreet projects within the legal team outside of the area of primary responsibility.
