Senior Counsel, Privacy and Technology Transactions Duties: Review and negotiate (with minimal supervision) a broad range of commercial and public sector contracts of moderate to high complexity, including software license and subscription agreements, high-dollar value customer contracts, and centralized contract vehicles in accordance with policies and risk tolerance parameters; Negotiate non-revenue agreements such as vendor/procurement contracts, strategic partnerships, technology in-licenses, and high-risk contracts; Provide escalation support to Contracts team in customer contract negotiations; Provide counsel to all levels of internal clients regarding company policies, contractual issues, and risk tolerance; educate sales when appropriate on use of contract vehicles; Identify, report, and escalate business issues and nonstandard terms for review and approval at the appropriate level within the business in accordance with processes; Provide support to General Counsel in the development and maintenance of corporate policies; Maintain and assist in developing standardized contract templates, playbooks, and internal knowledge management resources; Perform legal research and complete legal projects as requested; Perform sales and organization enablement training; Review and negotiate privacy-related documents such as DPAs and BAAs, maintain privacy-related templates; Coordinate with General Counsel, and internal security team to develop and maintain global privacy and information security policies and procedures; Act as subject matter expert on global privacy-related matters and represent in industry organizations and manage outside counsel on privacy and cybersecurity issues; and Participate in new acquisition due-diligence team on privacy-related matters.

Requirements: JD or Global equivalent of a U.S. Law Degree required. 5-10 years experience/PQE; Experience in contracts drafting and customer negotiations required; CIPP and/or IAPP certifications a plus; Substantive knowledge and experience in developing, implementing, and maintaining data privacy policies, procedures, and infrastructure; GDPR experience required; experience with privacy regulations in APAC and the Americas is a plus; Data privacy and cybersecurity experience, including cross-border transfers of data, investigations into security events, data security incident notifications, and responses to violations of privacy rights; Experience negotiating sales transactions with public sector clients in the U.S., UK, and Ireland; Exceptional written and verbal communication skills; Meticulous attention to detail, ability to manage changing priorities and workflow in an organized fashion and the ability to effectively advance multiple simultaneous projects meeting tight deadlines; Comfortable collaborating with all levels of a professional organization, including providing counsel and guidance to General Counsel and executive leadership; Outstanding interpersonal skills, customer service and communication (in person, over the phone, and through electronic communications and social media); A pragmatic customer-centric attitude, strong problem-solving skills and cooperative team focus.
