Corporate Counsel Responsibilities: Provide hands-on leadership and legal advice with direct involvement in drafting and negotiating commercial contracts including sales, partnerships, vendors, and other agreements. Function independently as primary reviewer and advisor regarding sales contracts and other ancillary agreements (BAAs, ISAs, etc.) to ensure terms and conditions safeguard the company's interests. Develop company policy and position on legal issues. Structure, draft, and review reports and other legal documents. Research, anticipate and guard company against legal risks. Guide managers and ensure compliance with rules and regulations. Assist with receipt and handling of incoming third-party subpoenas. Advise on legal compliance issues applicable to life sciences sales and marketing activities (US and global). Support legal needs of the company's international subsidiaries. Assist with board and corporate governance matters. Collaborate with senior executives on sales, HR, partnerships, M&A, and other complex transactions. Assist with supervision of outside counsel in a cost-effective manner. Proactively identify and manage legal risk, including emerging issues, and help drive legal strategy to align with the company's corporate strategy and business goals. Serve as a business partner in support of business units across the company and around the world with minimal oversight. Assist with developing, implementing, and improving processes and systems to optimize the efficiency of the Legal department.

Qualifications: Corporate Attorney. Active License to practice law in the state of Missouri or Florida, or the ability to get licensed as registered in-house counsel in one of these states based on other state licensure. 5+ years of experience at a law firm, in-house at a company, or a combination thereof, in a mix of areas that may include commercial software transactions, partnerships and M&A, and corporate governance. Experience supporting business development is desired. Familiarity with laws and regulations applicable to healthcare technology companies, including data privacy regulations. Excellent law firm training and/or in-house experience with respect to the functional role. Proactive leadership skills and ability to drive critical decisions and deliver results. Good business judgment and ability to help the company take appropriate business risks. Superior oral and written communication skills and the ability to develop strong relationships across departments and communicate openly about challenging issues across functional areas. Strong organizational and problem-solving skills. Ability to multi-task and juggle competing demands in a fast-paced environment. Ability to work with employees in different departments and countries and at different levels.
