Vp, Deputy General Counsel - Securities & Governance

VP, Deputy General Counsel - Securities & Governance Duties: Interact directly with Executive Management and the Board of Directors. Advise on securities, equity based compensation and general corporate governance law matters. Manage a four person Securities/Corp Governance team and a 10 person Equity Admin team. Along with two others set direction for the Legal/Industry Relations/Equity Admin group. Support timely satisfaction of SEC and stock exchange compliance and reporting obligations, including registration statements, proxy statements, reports on Form 10-K, 10-Q and 8-K, and Section 16 reporting. Partner with Finance on capital markets transactions. Assist in corporate governance and board matters, including preparation of board materials, minutes, updates to corporate charters and policies and shareholder meeting materials. Lead cross functional disclosure committee activities. Partner with Investor Relations, Corporate Communications and Marketing groups to review and provide input on earnings disclosure and external and internal communications, including corporate website, social media announcements, employee communications and investor presentations. Oversee management of the company's US and ex-US subsidiaries.

Qualifications: zachelor's degree plus JD Degree from an accredited law school; active membership in at least one state bar (NY Bar is a plus). 12 years experience with heavy focus on public company securities law and corporate governance. 3+ years in the securities practice of a nationally-recognized US law firm required; a combination of both law firm and in-house public company experience is ideal. Experience advising high-growth companies is a plus. Detailed understanding of applicable securities laws; significant experience advising clients regarding compliance and coordinating 34 Act filings. Knowledge of equity based compensation. Proven ability to independently manage competing projects. Strong organizational and interpersonal skills with an ability to distill complex legal issues and provide sound, clear legal advice to senior leaders and others. Confidence operating in a fast-paced cross-functional environment. A team player with low ego who can effectively work with and manage other attorneys and legal professionals.
