Senior Corporate Counsel - Capital Markets Responsibilities: Review underwriting agreements, offering documents and related documentation for registered and 144A ABS offerings. Advise Fixed Income Capital Markets group regarding CLO Class A loans. Advise business units and other support partners regarding relevant securities laws and regulations and related risks. Stay abreast of relevant market, legal and regulatory developments. Become familiar with relevant U.S. Bank policies and procedures, ranging from bank and broker-dealer regulatory matters to credit approval processes. Review transaction documentation for asset-backed lending facilities. Review agreements with third-party providers of technology and other services. Review underwriting agreements, offering documents and related documentation for corporate bond offerings. Participate in trade group working groups on relevant matters.

Qualifications: Law degree. Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority. Preferred Skills/Experience: 6+ years of experience as an attorney in a law firm and/or as in-house counsel supporting structured finance transactions, including ABS offerings on behalf of issuers and/or underwriters. Significant experience with registered and 144A securities offerings. Knowledge of securities laws and regulations (primarily 33 and 34 Acts, including 15G and Reg AB). Knowledge of broker-dealer laws and regulations. Experience with CLOs, including CLO Class A loans. Ideally, experience with asset-backed lending facilities. Ideally, knowledge of bank regulatory laws and regulations. Excellent analytical, decision-making and problem-solving skills. Excellent written, verbal, and interpersonal communication skills. Confidence and efficiency in reviewing offering documents, underwriting agreements and related documentation. Ability to collaborate confidently and effectively with a diverse range of stakeholders. Ability to assess risks and provide thoughtful advice in a fast-paced environment.
