Associate Counsel-Commercial & Contracts Duties: Advise executives and management on business decisions and the impact of legal considerations. Interpret and provide counsel to internal business and functional partners regarding contractual obligations and requirements of applicable law and regulations. Review, analyze and negotiate commercial agreements, including transactions relating to: technology, information technology (including SaaS agreements), e-commerce, international supply chain, merchandising (including revenue recognition, defects and product returns), marketing and sponsorship, professional consulting services, technology, intellectual property and licensing telecommunications, transportation, customer sales and human resources. Design, evaluate and update terms and conditions of internal templates used with both customers and suppliers. Actively participate as member of the IT Department's Lead Team, providing advice on both Legal and IT-related questions; serve as proactive link between the IT and Legal Teams for upcoming projects and major initiatives. Assist Associate General Counsel and other Team members in designing and implementing systems, processes and procedures designed to streamline and improve quality of contract review and other Team functions. Monitor and maintain awareness of pending and existing legislation, regulations and developments that are relevant to the Company's business interests and operations, particularly relating to contracts/commercial legal matters. Assist Associate General Counsel with compliance oversight relating to certain regulatory matters such as trade and global sourcing, pricing and antitrust and safety. Investigate, gather facts, statements, and supporting documentation to develop legal strategies and planning for commercial issues or disputes; work closely with business partners to negotiate and resolve these matters. Review, analyze and assist in responding to inquiries from regulatory authorities and their agents; assist in preparation and delivery of responses. Engage and manage outside counsel, as needed. Develop and conduct training materials/classes on assigned topics. Provide support for Litigation, M&A, Compliance and other legal teams, as needed.

Qualifications: Ability to handle high work volume and exercise judgment to prioritize tasks. Excellent verbal and written communication skills required. Ability to read, analyze, understand and interpret complex legal and business documents. Ability to respond discretely and effectively to the most sensitive inquiries or complaints. Ability to make effective and persuasive presentations on controversial and/or complex topics to all levels of management and outside third parties. Ability to understand and analyze budget/P&L statements and manage fees/expenses on a proactive basis. High level of reasoning ability required. Ability to define problems, make relevant inquiries, collect and analyze complex data and conflicting viewpoints, establish facts and draw valid conclusions, as well as make strategic decisions and persuasive arguments. Ability to deal with a variety of abstract and concrete variables. Juris Doctorate (J.D.) degree from an accredited law school required, and at least 8 -10 years experience practicing law in a law firm and/or corporate environment. Must have valid license to practice law issued from the North Carolina Board of Law Examiners or the equivalent governing body in another U.S. State. Must meet annual continuing legal education and other requirements needed to maintain "Active" status in the applicable state.
