Corporate Counsel - Securities

Corporate Counsel - Securities Responsibilities: Integrate functional efficiencies and best practices with operational and business generating functions to streamline the interface between the securities team and the operational and business generating teams within the company to support compliance with SEC and NYSE rules and regulations, including filing 10-Ks/Qs, 8-Ks, Section 16 filings, and proxy statement and registration statement filings. Negotiate, review, and draft a wide variety of agreements in support of the company's programs. Collaborate with our investor relations and communications teams, including with respect to our corporate website, press releases and investor presentations. Evaluate and oversee various compliance policies, including our Code of Business Conduct and Ethics and Insider Trading Compliance Policy. Nurture a culture of compliance throughout the organization. Timely provide transactional support on corporate aspects of financing activities and strategic external arrangements. Implement user-friendly equity plan administration in collaboration with our finance and people teams. Varied tasks associated with corporate governance matters, compliance with third-party obligations, preparation for board meetings and annual stockholder meetings, employee stock transfer and the like. Engagement in other matters that may arise from time to time.

Requirements: BA/BS degree. JD Degree and licensed to practice law in the United States. 3+ years experience practicing law in a law firm and/or a publicly traded corporation, preferably with experience representing high-growth tech, biotech or life sciences companies. Desired Experience and Capabilities. Corporate law expertise, including substantial experience with SEC and NYSE rules and regulations, corporate governance and corporate finance. Ideally, experience navigating within a complex business organization and interfacing with finance, human resources, communications and commercial departments in a publicly traded corporation. Training in supporting transaction teams engaged in complex equity and intellectual property structures. A legal advisor and collaborative business partner to your colleagues. Admired for your technical legal skills, coupled with business acumen and judgment. Committed to personal and professional ethics and integrity. Excited to work in a fast-paced, start-up environment at a high-growth company. An effective problem-solver. Resourceful and able to seamlessly multi-task various matters. Exceptional in your written and oral communication skills with strong attention to detail.
