Senior Counsel, Real Estate Responsibilities: Draft, negotiate and provide support for commercial real estate sale, lease and finance matters through skilled retail lease drafting, negotiation and editing while properly balancing business risks and meeting internal objectives and guidelines; legal research, as necessary, in jurisdictions across the country and internationally. Draft, negotiate and provide support for real estate related contracts such as general contractor agreements, procurement and materials agreements, subcontractor agreements and related lien resolution matters. Working as a collaborative team member of the Legal Real Estate Team in support the company's retail lease portfolio, addressing issues as they arise and drafting and negotiating applicable attendant documents (Lease renewals, amendments, SNDAs, guaranties, letters of credit, estoppel letters, Landlord dispute letters). Collaborate with the real estate leasing, store design and construction groups and provide guidance to the leasing, procurement and facilities teams, answering questions on lease interpretations and making recommendations for best practices and processes. Provide counsel for all aspects of real estate disputes, pre-litigation and pending litigation matters. Develop, maintain and improve company real estate agreement standards and template forms including general construction, architecture, vendor procurement, lien releases and related documents. Work with and provide guidance to internal teams related to enforcing tenant lease rights such as co-tenancy and exclusive violations. Establish and maintain systems to ensure company compliance with real estate contract requirements and applicable laws. Experience with corporate strategic development matters a plus such as support role in potential mergers and acquisition transactions, including due diligence, reviewing, drafting and negotiating a range of agreements, including transaction agreements related to mergers and acquisitions, non-disclosure agreements, letters of intent, purchase agreements, joint ventures, etc.

Qualifications: Must have 5 years of hands-on retail leasing experience in a fast paced environment; ability to handle and manage significant number of leasing deals simultaneously, coordinate with design and construction teams and meet store buildout timelines. Advanced legal knowledge of commercial real estate contracts and management agreements; retail experience strongly preferred. Ability to provide practical, effective counsel, find alternative solutions to problems, and hold the line when warranted in a respectful and authoritative manner and suggest workable alternatives to meet the desired goals. Ability to work on a wide range of mission-critical projects with minimal supervision. Detail-oriented, resourceful, adaptable, flexible, organized, discreet and cost-conscious problem solver who can remain calm and work under pressure. Proven experience as an independent, efficient and successful negotiator of commercial agreements. Ability to identify, explain and balance business and legal risks. Sound judgement and strategic thinking in all legal matters. Excellent written and oral communications skills. Ability to work efficiently, prioritize and meet deadlines in a fast-paced environment. Ability to negotiate and find resolution to Landlord disputes related to tenant rights under leases, maintenance obligations and property damage claims. Mergers and acquisitions experience a plus, including due diligence management, deal team coordination, and various support roles.
