M&A and Contracts Counsel Duties: Work closely with legal and business teams to provide advice with respect to mergers & acquisitions and negotiate and draft a wide variety of contracts. Provide legal advice related to M&A transactions, including project management, due diligence, and document preparation and negotiation. Lead commercial contract review, drafting, and negotiations across multiple lines of business, clearly and concisely identifying and explaining the ramifications of contractual terms to the business decision-makers and third parties. Recommend and execute process improvements. Develop and conduct training sessions for internal team members on procedures and contract or legal topics as necessary. Work with legal, business, finance, and operations teams to prepare, implement, and improve internal forms, processes, and policies. Provide ongoing management and maintenance of contracts. Occasionally investigate, negotiate and resolve contract disputes. Collaborate with and provide assistance to legal department colleagues and policy specialists on various legal and regulatory issues. Foster and develop a culture of teamwork, employee development, and accountability. Contribute broadly to the leadership of the businesses, working effectively with senior management and creating strong trusted advisor relationships with the business leaders. May supervise and/or mentor contracts analysts or administrative assistants. Perform other projects/tasks as assigned.

Qualifications: Juris Doctor from accredited law school. Member of a State Bar and in good standing. Must have 3+ years of relevant legal experience. Significant experience will all aspects of M&A transactions is required. Experience with project management is a plus. International experience is desired. Excellent writing, drafting, and verbal communication skills are required. Must be able to quickly identify issues, communicate the Company's position, exercise sound legal and business judgment, interact in a professional and effective manner, and close deals. Must have strong organizational, time-management, and prioritization capabilities; able to manage workload and consistently meet deadlines independently, efficiently, and with minimal supervision. Must be process and detail-oriented. Must have a high level of proficiency with Microsoft Office suite (including Word, Excel, PowerPoint, Teams, SharePoint, and Outlook) as well as the ability to learn and use other computer systems and databases. Must be a team player dedicated to contributing to a positive work environment. Exhibit a strong desire to be the best; be decisive and take initiative; step up and execute; deliver results; take accountability for results; make difficult decisions when needed. Stay one step ahead of the needs of the organization and leadership; strategize and prioritize the most important work; solution-driven, not problem-driven. Take measured risks, challenge the status quo, and foster new ideas; thoughtfully approach all potential outcomes. Deeply understand your own strengths and opportunities; seek feedback from others on your performance and leadership; constantly seek to improve leadership skills. Must be able to hit the ground running, leading sometimes complex negotiations with internal and external business partners. Must possess a willingness to learn and understand internal business, operational, financial, and technical matters to provide sound legal advice and risk analysis, while simultaneously assisting business clients in achieving their commercial objectives.
