Lead, Corporate & Securities Counsel The candidate will prepare and handle all Board of Directors-related matters, including relevant research, drafting of materials and minutes, and management of all Board and Committee meetings. Review and/or prepare all SEC and NYSE filings, including Annual/Quarterly Reports on Forms 10-K/Q, Current Reports on Form 8-K, Section 16 filings (Forms 3/4/5), annual Proxy Statements, Annual/Interim Written Affirmation filings and others. Review and provide input on earnings releases, press releases, and stockholder and investor communications for compliance with applicable securities laws. Responsible for preparation of Annual Meeting of Stockholders and other stockholder matters. Responsible for equity administration and handling of disclosure issues. Provide counsel on corporate social responsibility (CSR) and sustainability matters, including review of annual CSR report. Provide counsel regarding compliance with SEC rules, NYSE listing standards, Sarbanes-Oxley standards, and all other applicable corporate governance requirements, as well as relevant corporate governance, executive compensation, investor relations, and public company policies, processes and issues. Advise regarding significant and other corporate financing transactions, including drafting and/or reviewing various agreements in coordination with Tax, Treasury and Finance departments. Responsible for subsidiary and D&O management. Advise on all general corporate and transactional matters, including oversight of corporate recordkeeping.

The candidate should have experience in a law firm and in-house with a strong background in corporate, capital markets, and securities laws. Should have a J.D. degree with excellent academic credentials and member of New York or New Jersey Bar. Exceptional attention to detail combined with the ability to see the big picture. Exceptional organizational skills. Talent for multi-tasking, prioritizing, following through, and taking ownership of projects. Excellent business judgment, discretion and the ability to assess legal risk. Professionalism and poise in communication across functions and levels, whether with colleagues, counterparts or otherwise. Strong analytical, writing and communication skills.
