Senior Corporate, M&A, and Securities Counsel The candidate will provide advice on M&A transactions, as well as support and guidance on securities and corporate governance matters. Review, draft and negotiate transaction documents. Provide lead legal support for mergers, acquisitions, divestitures, and joint venture arrangements or other strategic partnerships, and the integration of acquisitions. Assist in the preparation, review, and filing of SEC filings and related documents, including current and periodic reports, proxy statements, registration statements, and other securities-law filings. Assist in drafting and reviewing other disclosures and corporate communications, including disclosure documents, including earnings releases, press releases, and blogs. Assist in monitoring, maintaining, and implementing various corporate governance practices and policies. Provide legal advice and support on transactions supporting the day-to-day operations of the company. Assist with implementation of Sarbanes-Oxley compliant controls and preparation for potential future corporate transactions. Help to develop, implement and continually improve processes and procedures to increase the efficiency of the legal department. Support the company s initiatives and programs, including coordination with internal and external stakeholders.

The candidate must have a J.D. with excellent academic credentials and top-tier law firm experience. Must have 8+ years of experience as a securities and corporate attorney including securities matters, corporate governance, mergers and acquisitions, public securities offerings, and SEC/SOX compliance. Should have excellent oral and written communication skills with a sense of humor. Demonstrated ability to work efficiently, prioritize workflow, meet demanding deadlines, and manage multi-dimensional projects in a fast-paced environment. Sound and practical business judgment?are required along with the ability to work both independently and with a diverse set of personalities in a team environment. Must have a proven track record of learning quickly, taking initiative, working proactively, being resourceful, and taking on additional responsibility.
