Senior Corporate Counsel, Government Compliance Responsibilities: Act as the primary legal counsel for developing and improving compliance program to ensure (1) adherence to government procurement laws and regulations, including the FAR, DFARS and government ethics rules; (2) compliance training on government contracting and regulatory compliance requirements; (3) monitoring compliance with government contracts requirements through design of internal controls or processes, including risk assessments and identifying appropriate remediation as may be required. Serve as a key legal advisor and partner to senior business leaders and colleagues who engage with and support government business and customers to develop and implement compliance resources, processes and controls that address government contracting requirements. Draft and contribute to policies, business procedures and guidance designed to foster compliance with government contracting requirements. Monitor business activity to ensure legal compliance and identify, anticipate and mitigate legal and other risks (e.g., geopolitical, country, reputational, etc.) in government business. Strategize and develop engagement with industry, external legal professionals, government officials, customers and/or partners to drive external outreach initiatives (e.g., conferences, seminars, volunteering for committees).

Qualifications: JD degree from an accredited U.S. law school and licensed attorney in a minimum of one US jurisdiction. 10+ years professional experience developing and maintaining compliance policies and programs for direct and indirect work in government contracts. Demonstrated ability to lead, influence and motivate others, to work as a trusted advisor to the business and to collaborate with others as required to address compliance matters. Experience managing and working with external resources, including law firms, consultants and industry associations. Organize and simplify complex/multi-dimensional issues to recommend a clear course of action among alternatives, balancing legal risks against business interests. Ability to work independently on a wide variety of tasks in a proactive manner in a fast-paced environment. Attention to detail, ability to prioritize to meet aggressive deadlines and adjust to workload fluctuations. Ability to understand a variety of technologies, business interests, political and regulatory goals. Preferred qualifications: Familiarity with the software industry and working knowledge of Microsoft products and services. Experience with internal investigations, government audits, FCA/government contract dispute resolution, litigation or prosecution. Familiarity with M&A government contracting due diligence support, SACC clauses, DEFCONs or other public procurement regulatory frameworks are a plus.
