Corporate Counsel, Contracts and M&A Responsibilities: Draft and negotiate government and MCO contracts, transportation provider and vendor contracts. Support the General Counsel in providing oversight and legal advice with respect to MTM and MTM Transit M&A transactions, including but not limited to, structuring transactions, managing the team's drafting and reviewing of agreements, managing outside counsel, overseeing the due diligence process, and overseeing and managing post-closing activities. Develop due diligence framework to guide all acquisition assessments and post-acquisition integration. Work closely with the Director, Mergers and Acquisitions to advance MTM's and MTM Transit's M&A pipelines. Work cross-functionally to oversee post-acquisition integration activities. Leverage experience using effective business growth and risk management techniques to offer proactive advice that enables the company to maximize opportunity and minimize liability. Provide expertise in the formulation and development of new policies and revision of existing policies; and provides expertise and advice in the implementation and application of policies. Advise Executive and Senior Management on various matters such as legal risks, new and existing laws and regulations. Other duties as assigned.

Qualifications: JD Degree from an accredited school of Law and licensure in good standing. 3-4 years of combined experience within both a large law firm and in-house company. Experience with M&A transactions and corporate governance matters. Even better if have: Experience in both private and public company acquisitions preferred. Knowledge of Medicaid and Medicare managed care and transportation regulations preferred. Knowledge of government contracts; corporate law and mergers and acquisitions. Must possess the ability to handle an array of confidential matters and maintain the highest level of confidentiality. Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization. Ability to establish and maintain strong relationships across the organization's various departments. A high level of initiative is essential. Excellent strategic and organizational skills. Ability to quickly assimilate complex information and assess the big picture. Ability to make sound judgment calls. Take an active role in leadership, including the professional development and mentorship of Legal team members. Proficient in the use of Microsoft Office, including Outlook, Word, Excel Access, and PowerPoint.
