Corporate Counsel Duties: Responsible for providing high quality legal services and undertaking the coordinated management and mitigation of legal and compliance risks throughout the Health Sector in the Americas and, where appropriate, managing external counsel supporting Health with a particular focus on existing and new commercial transactions. Key to the role is understanding the Generic and Innovator Businesses and developing close working relationships with colleagues across each layer of the organization to support strategy and improve the effective and efficient identification, assessment, and management of legal risk, past, present, and future. Provide the full range of legal advice to the Health Sector in the US with a collaborative role working with colleagues in the UK and China. Providing legal advice to the Generics and Innovator Businesses generally. Build and maintain close relationships with the senior members of the Sector. Understand the strategic objectives of the Sector to provide risk-based and focussed legal advice. Draft and negotiate a variety of legal documents and commercial contracts both in the US and internationally serving the US Businesses. This includes complex commercial transactions, sale/purchase agreements for both goods and services, distributor/agency agreements, joint development agreements, contractor terms, real property agreements and various international deals. All aspects of such commercial arrangements are covered, including competition, IP, tax and employment.?Develop a good knowledge of the legal aspects of the Generics and Innovator Businesses. Knowledge and experience of Hatch-Waxman litigation is a plus as the position works with the IP Department on various transactions and partnerships. Work closely with other members of the legal team and IP team globally to ensure global consistency in legal and compliance risk management for the Sector. Provide, manage or coordinate (as appropriate) advice to the Sector in respect of ethics and compliance matters working closely with Group Ethics and Compliance. Promote Code of Ethics within the Businesses and an approach to doing business that reflects commitment to doing business ethically, in accordance with its values. Provide legal and compliance training to the Businesses (ABC, Competition and Sanctions). Support merger and acquisition projects in the Sector. Support a wide range of improvement projects within the legal team and within the Sector. Implement and maintain standard form documents and procedures.? Manage with support from specialist counsel dispute and negotiation of dispute settlements/litigation management.? Manage specialist legal services provided by external firms, such as advice on corporate, commercial, litigation, employment, tax, IP, property, and environmental law, settling budgets for advice presented by these firms and managing that legal spend.

Qualifications: Strong academic credentials including a JD Degree and must be a member of a state bar in good standing, Pennsylvania admission ideal. 5+ years broad legal experience gained either in a leading firm or in an in-house role and current practising certificate. Previous experience of working in an international environment. Experience of working across multiple business units simultaneously. Experience dealing with Compliance matters. Experience dealing with financial instruments/trading/financial regulation desirable. Exposure to intellectual property and competition law desirable. Corporate legal experience desirable. Experience of the chemicals and/or pharmaceutical industry desirable.
