Contracts Attorney

Contracts Attorney Responsibilities: Analyze and interpret existing agreements, transaction structuring, enforcement, risk assessment, legal and regulatory compliance, and corporate policies. Provide support to business teams with dispute-resolution activities with vendors, customers, and contractors. Coordinate and assist in developing policies, procedures, and systems to support and facilitate efficient contract development and analysis. Monitor the legal environment and trends concerning the areas involving contracts to ensure compliance and perform other duties as needed. Nurture strong working relationships with business colleagues and other members of the legal team. Review and negotiate other agreements related to the research and development efforts of the Company and its affiliates as assigned. Prepare and review and continually improve standard contract templates and facilitate contract approval processes. Utilize and help maintain Legal department templates to draft and negotiate contracts. Serve as a point of contact for contract questions within the Company. Collaborate with colleagues at Headquarters in Hamburg, Germany, on legal and compliance-related matters. Handle other legal and compliance-related matters for US entities as assigned. Participate and contribute to special projects, as needed.

Qualifications: License to practice law in NJ or another US jurisdiction and 3 years of experience drafting, negotiating and executing contracts in the Pharmaceutical/Biotech industry. Good understanding and interest in scientific and commercial processes. Excellent organizational, leadership, problem solving and decision-making skills. Outstanding organizational, written and verbal communication skills, with an attention to detail and an understanding of a team and matrix environment. Solid interpersonal, facilitation, and negotiation skills with the ability to influence at all levels. Self-starter who is resourceful and able to work effectively both independently as well as with a team. Strong attention to detail with a focus on the accuracy of details in all contracts. The ability to draft and negotiate contracts independently and prioritize workload. The ability to think creatively to find common ground in contract negotiations. The ability to meet deadlines, use time effectively and handle multiple assignments simultaneously.
