Corporate Counsel, Investments Law - Products, Distribution, & Operations Unit Duties: Provide legal advice and counsel to our business partners on legal aspects of a sophisticated institutional investment management platform in a global insurance company. Provide legal support in connection with the negotiation of separate account investment management agreements in private and public fixed income asset classes for domestic and international institutional investors. Provide ongoing legal support for existing MIM Funds, including review and negotiation of the fund and other product documentation, including LPAs, PPMs, and investment management agreements. Provide legal advice in support in connection with sales and marketing efforts of the MIM business, domestically and internationally. Provide regulatory advice in connection with MIM operating platform and Fund products to ensure adherence with Investment Advisors Act and applicable Securities Acts regulations. Support the operational and compliance requirements of this new business by providing cogent SEC and other regulatory guidance. Maintain diplomatic client relationships and provide education to business partners on relevant legal developments while growing own business acumen. Efficiently monitor and manage outside counsel's work product and costs. Prepare reports for Legal Affairs management. Partner with the units in a collaborative manner to achieve enterprise goals. Perform other duties as required. Required Qualifications: J.D. Degree. NJ or PA Bar Admission. NJ in-house Counsel Certification is required to be maintained if admitted to another State Bar. 3+ years relevant investment management experience in-house with an investment management firm and/or with a law firm. Strong legal drafting skills and contract negotiation skills. Clear oral and written communication skills. Willingness and desire to learn. Preferred Qualifications: Knowledge of legal and regulatory issues pertaining to an investment management platform. Knowledge of Investment Advisors Act of 1940. Experience with private fund structuring and formation. Experience with the negotiation of separate account investment management agreements with institutional clients. Ability to train and supervise paralegals.
