Senior Legal Counsel, Transactions and Finance Partner Duties: Act as a member of the legal team assisting in the development and execution of strategies and tactics that enable the business to achieve its objectives and supporting complex commercial and other strategic transactions in furtherance of those objectives. Participate in the negotiation of complex commercial and civil agreements. Negotiate collaboration/partnership agreements, teaming agreements, data sharing agreements, and integration agreements relating to business development. Proactively identify and mitigate risks to the business, with a focus on ensuring the Company's ability to continue to develop and enhance its building environment offerings. Serve as a subject matter expert and lead legal support on commercial transactions, including software, data, and technology licensing, cybersecurity, privacy, and other matters of strategic importance, as well as providing general business advice. Where required work directly with legal business partners, and outside counsel to ensure cost-effective support of commercial transactions and other matters of strategic importance to the business. Identify and sponsor enterprise-wide initiatives that advance the company's legal function. Management of transactions across the Company. Drafting and negotiating key transactional documents, control of data rooms/legal due diligence, disclosure exercises, and closings. Coordination and management of internal and external legal support and support from other functional colleagues (e.g., Finance, Tax, HR, HSE) in a cross-discipline / multi-jurisdiction context. Selecting and management of external legal counsel in an efficient and cost-effective manner.

Qualifications: A Recognized Law Degree from a tier-one Internationally Recognized University. US LL.M. is desired. Licensed to practice law within Mexico or the United States. Law firm experience of 5+ years in a reputable US firm at an associate level or foreign associate, with international exposure. Experience with commercial and corporate transactions, ideally in a cross-border context. Experience selecting and managing outside counsel on an international basis is a plus. Business sense and demonstrated experience with a listed multinational company. Familiarity with a wide variety of transaction types (e.g., share purchase, asset purchase, divestment, joint venture, cross-border projects, carve-outs, etc.). Ability to work and lead autonomously on commercial and transactional projects with minimal supervision, and have credible experience of doing so. Ability to work independently while being able to contribute successfully to cross-functional teams. Excellent commercial judgment enables consideration of legal requests in a commercial, constructive, and business-sympathetic way, balancing business needs with legal risk. Be comfortable with understanding and negotiating commercial and non-legal issues (including price adjustment mechanisms, environmental liabilities, etc.) as well as purely legal corporate issues. Ability to present succinct, accurate, and pragmatic advice, especially to distill complex technical concepts into business terms. Ability to work on multiple projects under pressure, tight deadlines, and to manage the expectations of clients. Ability to influence without authority and to work within a matrixed legal team are key attributes. Ability to develop and sustain relationships with management at all levels across geographies, and customer management skills.
