Corporate Counsel (Director/Senior Director) Duties: Lead the preparation and coordination of various periodic report filings pursuant to the 34 Act, including Form 10-Ks, 10-Qs, Form 8-Ks, and proxy statements. Lead the preparation and coordination of 33 Act filings, including registration statements. Effectively manage and work collaboratively with securities and corporate outside counsel. Collaborate cross-functionally with the finance team and other research, development, and commercial teams on disclosure and financial matters. Develop policies, training, and practices in collaboration with the Legal Team and spearhead the company-wide training programs most relevant to the organization. Provide legal advice and support to the General Counsel and to the Board of Directors. Collaborate fluidly with other members of the Legal Team relating to a broad range of topics, including contracts with third parties, diligence efforts, protecting and defending intellectual property rights, supporting strategic partnering collaborations, and employment matters. Qualifications: JD with 7-10 years of experience. Prior law firm experience is preferred; in-house experience is a plus. Demonstrated experience and accomplishment in a broad range of securities matters. Experience advising executives and boards on corporate finance matters. Excellent oral and written communication skills that enable effective interactions with internal client groups (e.g., finance, investor relations, business development, etc.) as well as with colleagues on the Legal team. Ability to manage outside counsel and interact with other outside stakeholders, as needed (auditors, printers, vendors). Ability to organize and execute multiple complex tasks in parallel, ensuring that Legal and non-Legal deliverables are completed in a timely manner. Attention to detail and accuracy as well as comfort working in a fast-paced environment. Desire to learn in new areas of legal practice and become well-versed in the business environment of the Company. Commitment to adherence to ethics and integrity in all engagements.
