Senior Vice President, General Counsel & Corporate Secretary Responsibilities: Providing overall leadership and direction for all legal matters and supporting Regis functions and business through the delivery of legal support and guidance. Serving as a business partner and providing practical legal guidance particularly as it relates to strategic decision-making. Acting as chief advisor to the CEO and Board of Directors on legal and corporate governance issues, as well as participating in the strategic planning process. Performing all functions of a Corporate Secretary, including coordination of meeting agendas, recordkeeping associated with Board meetings and other corporate governance matters, and annual shareholder meeting requirements. Leading and managing the corporate governance function including maintenance of public company filings in accordance with NYSE-listing standards, drafting the annual proxy statement and advising the CEO and CFO on earnings releases and other disclosures. Managing, advising and counseling on all strategic and complex commercial agreements and corporate transactions, including partnerships and mergers, acquisitions, dispositions and other collaborative opportunities. Participating in the resolution of labor and employment issues and issues of environmental/health/safety and other regulatory matters as they arise. Retaining and overseeing outside counsel for major transactions, financings, litigation and intellectual property matters. Developing and overseeing the implementation of the Company's litigation strategy. Counseling and reporting to executive management and the Board on areas of legal, operational, and compliance risk, and on the status of material litigation. Leading, managing and guiding existing in-house lawyers and other legal department employees with an aim towards fully maximizing performance and capabilities.

Qualifications: JD Degree from an accredited law school and an excellent academic background. Admission to a State Bar of any jurisdiction in the United States and licensed to practice in Minnesota (or admitted to the Minnesota Bar within a reasonable time following the commencement of the position). 10+ years of progressive legal experience, preferably with both a top-tier law firm and publicly traded company. Significant leadership and managerial experience as a general counsel or deputy/assistant general counsel. Significant franchising experience preferred. Previous experience serving as a Corporate Secretary or Assistant Corporate Secretary to a sophisticated board of directors. Proven ability to provide effective counsel to senior management on securities matters and specific experience counseling on corporate governance and the requirements mandated by Sarbanes-Oxley. Significant experience negotiating complex commercial agreements. Experience with capital markets transactions and various financing arrangements. Exposure to some combination of litigation management/dispute resolution, environmental, health & safety matters, labor & employment issues, and corporate compliance & ethics programs strongly preferred. Demonstrated success negotiating mergers and acquisitions, divestitures, and joint ventures and strategic alliances. Consumer or other retail-focused experience is desirable, but not required. High level of business acumen with an ability to think commercially while considering and advising on appropriate risk management/mitigation. Strong strategic thinker, capable of seeing the big picture but also getting in the weeds  as needed. Results-oriented. Strong track record of promoting and supporting Diversity & Inclusion efforts within an organization. Willingness to roll up one's sleeves  and tackle projects outside of set of core responsibilities. Outstanding executive leadership and team management skills. Outstanding interpersonal skills and the ability to communicate (both orally and in written form) and interact effectively with business leaders at all levels of the organization; ability to identify critical issues requiring action, to creatively find solutions and convey same in a manner useful to the business.
