Associate Corporate Counsel

Associate Corporate Counsel The candidate will support the company in a range of matters, including strategic M&A and other transactions, preparing and reviewing SEC filings, and partnering with team members and stakeholders across the company on other legal work as needed. Will play a lead role supporting the Company in M&A, investments and other strategic transactions, including drafting and negotiation of documentation and due diligence. Prepare and review SEC filings and related documents, including Section 16 filings and Proxy Statements and support annual shareholders meeting. Support global equity-related matters, including equity grants and company ESPP. Assist with corporate governance matters, including preparation of Board materials. Advise stakeholders on securities and other legal and regulatory compliance matters, including export compliance. Collaborate with colleagues across the legal team globally on a wide range of issues including alignment of processes and how best to deliver excellent legal support to the business. The candidate should have a J.D. degree with admission to practice in at least one US jurisdiction, preferably Massachusetts. Must have 3+ years of experience practicing in a law firm or in-house setting. Experience representing or working in software or technology companies is preferred. Should preferably have experience in one or more of the following areas: mergers and acquisitions, investments and other transactions work; SEC and other public company work; export compliance; general corporate legal advice; and Board support, including preparation and review of resolutions and minutes.
