Legal Counsel - Corporate Solutions Duties: Provide holistic legal support to business. Reports to the Head Corporate Solutions Legal NA and serves as a legal advisor for regional Legal team. Advises on a variety of legal and regulatory issues and may lead certain transactions or initiatives as lead counsel, with the assistance of other team members. Advising a large commercial insurance business, advising on regulatory and corporate governance matters, and collaborating with internal stakeholders (business leaders, Finance, Operations, Underwriting, Claims) and external parties (regulators, potential deal partners, and brokers.), including provision of the following services: Serving as a trusted legal advisor to and point of legal contact for regional clients. Providing pragmatic legal advice designed to enable and support regional business growth, while clearly articulating legal risks and opportunities. Advising the business on relevant regulatory issues and working closely with other internal experts in the management of regulatory relationships. Use of digital research (Westlaw) and collaboration (Office 365, proprietary applications) to quickly identify and analyze issues and communicate advice and written guidance. Supporting corporate acquisitions or joint ventures by participating in or coordinating due diligence and integration activities in conjunction with the firm's M&A experts and deal team. Support on legal issues in development of digital insurance platforms as needed. Management of outside counsel. Providing Legal support for A&H Claims, Underwriting and Operations, with guidance concerning insurance policies, plan documents, and client and partner requests with respect to business, federal and state requirements. Supporting policy review and development. Advising on claim denial communications and settlements. Participating in review and structuring of A&H reinsurance treaties, contracts, NDAs and service agreements. Ensuring A&H compliance with regulatory requirements. Reviewing marketing materials. Corporate, governance and legal entity support: As a Legal Counsel, preparing and presenting regional legal reports may be required, including reports for legal entity Boards of Directors and other committees. Providing advice on legal entity management and corporate governance related issues and working closely with other regional legal members that provide legal entity support. Participating in registration process for CorSo entities throughout the region. Providing reports to audit and risk functions, including external auditors and others. Applying legal practices and controls that comply with Group guidelines, local corporate governance practice, statutory requirements and applicable regulatory agencies for CorSo regional entities. Legal advisor within a regional team of Legal professionals. As a Legal Counsel, active participant in inter-disciplinary projects and processes with key constituencies (Finance, Tax, Operations, Underwriting, Sales) and lead counsel for selected projects or initiatives, with the assistance of other team members. Coordinating with lawyers and compliance officers assigned to other teams within Legal & Compliance Division on significant matters that affect the Group's reputation, regulatory relationships or operations. Supporting Dispute Resolution experts in the management of complex disputes and regulatory matters.

Qualifications: Admitted to the bar of at least one state in the United States, preferably Missouri or Connecticut. 8+ years legal experience in a well-respected law firm or financial services organization, with primary focus on A&H business, including employer stop loss. Firm understanding of A&H claims review and settlement practices. Ability to identify, research and analyze difficult issues in ambiguous circumstances is a key requirement and to clearly and concisely summarize complex issues for senior leaders. Proven ability to meet competing deadlines and work in a demanding, fast-paced environment. Ability to execute effectively in a matrix environment, working with diverse teams and individuals. Strong ability to build trust relationships with client groups, key stakeholders, and direct reports. Superior writer and editor of written documents, including insurance policies. High personal integrity, with ability to apply highest ethical standards and maintain independence as a lawyer. Ability to advise or experience in advising regulated financial services companies, preferably insurance or reinsurance, with market conduct experience. Languages: Business English fluency required; Spanish or French fluency a plus. Exposure to direct and excess domestic and international insurance, including understanding of distribution networks and MGA relationships is a plus. Structuring of insurance transactions and placements is a plus. Demonstrated experience handling legal entity management, corporate governance, and corporate secretary issues is preferred. Experience with key compliance risks, such as data protection, international trade controls, anti-money laundering, antitrust and competition, and market conduct is a plus. Strong presentation skills, with Word and Power Point proficiency.
