Senior Corporate Counsel The candidate will report to the Corporate, Vice President for Firms two engineering organizations. Primary responsibilities will be to provide timely legal services to support the Research Organization and Information Security Organization. Work with the CVP of firms Research to help Firms participate in cutting-edge technology research and development, such as developing and providing firms products to power supercomputers used for biomedical, climate, and materials science research. Also support the Chief Information Security Officer to help protect firms from cybersecurity threats. Supporting negotiation and review of US Government contracts and acquisitions of new government-funded projects with an emphasis on reviewing technical deliverables and proposals and providing client counseling on contracting vehicles and RFP responses. Working with the Compliance Team for compliance with contracts, including security clearances, as needed. Drafting, negotiating, and client counseling related to research activities with universities. Legal lead for the company's process for external technical papers and presentations at conferences. Advise paralegals in reviewing technical papers and presentations and be a contributing member of the cross-functional team that establishes the guidelines and processes for the review of such publications. Supporting and client counseling of the Cybersecurity Information Security team to help mitigate the risk of data loss and cybersecurity threats. Providing support and legal advice during a potential cybersecurity incident to help protect the company, its customers, and employees. Working with the Information Security team to review and provide guidance on the implementation of security improvements and access security risk for new applications or processes, as needed. Working with the Privacy Legal team, as needed, to comply with various laws and regulations regarding personally identifiable information. Supporting cross-company initiatives to improve security within the company and with our vendors. Working with our US Government Relations team, as needed, to help with possible cybersecurity regulations or legislation. Reviewing security-related communications.

The candidate should have a law degree and good standing with the appropriate State Bar, additional to Texas, California, or DC Bar, as applicable, is preferred. A bachelor's degree in Computer Engineering, Computer Science, Electrical Engineering, Materials Science, or equivalent experience in the semiconductor industry is preferred. 5+ years of experience preferably with some in-house corporate legal department is preferred. Experience drafting and negotiating US Government Contracts and Development Agreement, and preferably also development agreements and university funding agreements, and NDAs is a plus. Experience advising on cybersecurity risks and matters is desired.
