Counsel, Corporate Securities Responsibilities: Advise on securities law and prepare, in conjunction with the finance team, annual reports, periodic reports, Section 16 and Schedule 13D filings, proxy statements, and registration statements; ensure timely satisfaction of SEC and NYSE requirements. Advice on corporate disclosure matters and compliance with Regulation FD; review corporate communications, including press releases, investor presentations, and other communications with investors. Drive public company governance matters, including reviews of corporate governance policies and procedures, compensation plans and administration, insider trading counseling and training, and related party transactions review. Support the annual stockholder meeting process, including preparation and review of D&O questionnaires and coordination of annual meeting logistics. Support the efficient administration of the Board, including the development of meeting agendas, preparation of Board and Committee meeting materials, and meeting minutes. Oversee corporate secretarial matters for the company's international subsidiaries. Monitor and assess potential impacts of new and proposed securities laws, corporate governance developments, and trends. Provide strategic, practical advice to finance, accounting, human resources, investor relations, and communications. Help develop, implement, and continuously improve company processes and procedures. Provide support for other special projects as needed.

Qualifications: J.D. degree from an ABA-accredited law school. 4+ years of securities law experience, preferably in the life sciences industry. Strong business judgment, capable of understanding complex topics and finding streamlined solutions to legal and business problems. Strong organizational skills with extremely high attention to detail. Strong research skills. Self-starter with excellent follow-through and ability to prioritize responsibilities. Ability to work well with all levels of management and staff. Excellent communication skills, both verbal and written.
