Senior Corporate Counsel, Corporate and M&A Duties: Provide first and second chair legal advice and support in the Americas, EMEA and APAC on mergers and acquisitions, investments, corporate restructurings, and divestments of existing business lines, new corporate venture activities and the negotiation and setting up of affiliates and joint ventures and providing coordination and support on global transactions. Assist with corporate and securities matters, including corporate governance (e.g., corporate filings, entity management, Board materials, minutes, resolutions, consents), SEC/NYSE public company filings, and other general transactional matters. Draft, negotiate and participate in the review of various transaction documents associated with M&A, strategic investments, and other transactional matters, with support from outside counsel as appropriate. Collaborate with the business and legal teams in structuring transactions; identifying risks and concerns while presenting potential alternatives and solutions to challenging deal matters and business issues. Oversee due diligence and work collaboratively with in-region and service line counsel and multiple cross-functional teams, including proactive partnerships to ensure subject matter experts are included as appropriate. Provide legal advice and support to internal stakeholders with respect to the legal policies and the legal implications of proposed transactions; maintain open communication and good working relationships with internal clients and affiliates and partners of the Company. Assist with the oversight and management of external counsel. Proactively set and execute legal strategies anticipating and addressing changes in laws, regulations and business environment to the advantage and benefit of the company.

Qualfications: With 5+ years of legal experience at a major law firm, in-house environment, or a combination of both, with specific expertise handling (1) small and large private and public M&A transactions, preferably global, multi-national and cross-border and (2) general corporate and securities matters, including, corporate governance, legal entity management, security filings and other various transactional matters. The successful candidate will be a strategic thought leader who possesses strong business acumen and can manage the technical legal advice required to efficiently and effectively support C&W business partners across the globe, as well as serve as a counselor and partner to key business stakeholders. Demonstrated experience supporting sophisticated businesses lines is critical, as is an ability to manage third party advisers and work collaboratively in teams across geographies and skill lines.
