Senior Corporate Counsel The candidate will partner with the Ventures deal team to lead cross-functional teams to complete transactions in a timely and cost-efficient manner. Evaluate, structure, negotiate, draft and provide advice on equity and debt venture investments. Lead legal due diligence across cross-functional legal areas such as corporate, commercial, IP, export control by using internal legal specialists and outside counsel. Develop and scale venture legal and operations function and future proof it for additional volume and complexity. Collaborate with cross-functional teams, including Finance, Tax, Accounting, Total Rewards, Communications, Corporate Development, Product and Engineering to manage corporate transactions and initiatives. Take ownership and accountability for key projects and decisions and see them through doing the legwork to make sure that the appropriate stakeholders are engaged and providing rigorous follow-through and iteration. Own regulatory reporting and compliance matters related to Ventures and its investment portfolio. Support the Corporate legal team in additional corporate governance and disclosure matters, as needed. Stay current on industry trends and best practices, including research or benchmarking projects. The candidate should have a JD and admission to one State Bar. Should have 7+ years relevant experience practicing corporate venture capital law, ideally at a leading law firm and in-house. Highly collaborative, intellectually curious, and a great sense of humor. Comfortable navigating complicated and nuanced issues. Detail-oriented with excellent legal judgment, strong organizational skills and proven ability to deliver creative, thoughtful, and business-oriented results. Exceptional interpersonal and communication skills, including the ability to connect with, and gain the respect of, stakeholders at all levels, including our *** Ventures, product and partnerships teams.
