Senior Counsel - Corporate The candidate will support the legal division's global corporate function. Support various aspects of the company's federal securities law compliance and have an opportunity to support the company's board of directors. Depending on the division's needs and the individual's interests, the position may also provide the opportunity to support other legal areas relating to the company's diverse businesses. Provide corporate legal support to Cboe's global business, including analyzing and advising on corporate law and governance matters, supporting subsidiary board and shareholder meetings, and managing corporate reporting. Oversee internal transactional and subsidiary management matters globally, including restructurings, integrations, inter company agreements, responses to regulatory requests, and similar matters. Provide corporate and governance-related legal support for M&A activity and new business initiatives, including participation in due diligence and the design, implementation, and management of governance arrangements for newly acquired and/or formed subsidiaries. Work as a team member on federal securities compliance matters, including Section 16 and 1934 Act disclosures, and support the annual meeting of stockholders process. Support finance and treasury matters, including banking matters and potentially capital markets transactions, credit facilities, and related matters. Provide support for the board of director meetings for the company's Global Markets and its trading market subsidiaries, including assistance with preparing and compiling agendas, communications, decks, reports, pre-meeting packets, meeting materials, actions, resolutions, and minutes, and provide other legal support for company activities as requested.

The candidate should have a JD and license to practice law in any U.S. state. Should have 3 -5 years of corporate legal experience, preferably in a public company or large or mid-size law firm. Experience and interest in working with non-US legal systems and cultures. Must have strong communication skills and comfort communicating complex legal topics to senior business leaders, flexibility, and creativity in dealing with complex legal issues. Must have the ability to collaborate and build relationships across a global company. Commit to constantly evaluating current practices and seeking to identify process improvements. Must have the ability to manage competing priorities and a diverse set of responsibilities and deadlines, strong organizational skills, and attention to detail.
