Senior Corporate Transactional And Procurement Counsel

Senior Corporate Transactional and Procurement Counsel the candidate will work closely with procurement teams to handling cradle to grave complex commercial contracts that cover a broad spectrum of goods, services, software licenses, facilities/leases, HR benefits, and other contracts, in a fast-paced global environment. Provide practical business and legal advice to internal clients, and pro-actively develop and enhance internal processes, templates, playbooks, and policies to support efficiencies in the procurement contracting process. Develop and provide training for procurement personnel. Work closely with the legal privacy and INFOSEC teams to ensure that suppliers have executed data protection agreements. Comfortable indirectly negotiating with the seller's legal counsel. Have strong foundational knowledge of cloud computing/SaaS contracts, data privacy/security, intellectual property/software licensing, UCC article 2 (sale of goods), and professional services. Have adaptive time-management skills and the ability to project-manage, including strong organizational, written and verbal communication skills. Have a JD degree from an ABA-accredited law school. Be admitted to practice law in at least one U.S. jurisdiction (state or D.C.). Should have 10 years of experience as an in-house transaction-focused counsel and at least 3+years supporting a corporate procurement organization.
