Assistant General Counsel, Commercial and R&D Franchise Responsibilities: As a key member of the business franchise, proactively counsel and partner with franchise leadership to develop strategy and objectives, including with Clinical, Medical Affairs, Regulatory, Technical Operations, Pharmacovigilance, Sales, Marketing, and Market Access. Provide legal support across the full lifecycle of assets. Support and provide guidance on clinical development and commercial strategies, including brand objectives and business operations for products and investigational assets. Serve as lead lawyer on cross-functional teams including Promotional Review Committee, Scientific Review Committee, Incentive Compensation, and other committees requiring asset legal representation, or supervise another attorney's representation on such committees. Conduct or supervise the drafting, negotiation, and review of clinical, commercial, and medical affairs contracts, including clinical trial site, health care professional, vendor, licensing, consulting, speaker, advertising, sponsorship, manufacturing supply, and other agreements. Analyze business initiatives for antitrust, privacy, fraud and abuse, FDA, and other regulatory compliance. Ensure operations comply with applicable laws and company policies, including Anti-kickback Statute and other US healthcare compliance laws and regulations. Keep clients abreast of all relevant legal developments in their areas of business. Counsel and collaborate with the Compliance department on policy interpretation, training, and other relevant activities. Advise on pricing and contracts strategy. Draft, negotiate and review discount and rebate agreements, distribution agreements, specialty pharmacy agreements, and other market access agreements. Collaborate and coordinate with the Corporate AGC on important business development and complex transactions important to the business. As a key member of the Legal Leadership team, work with the General Counsel to set strategic goals for the legal department and develop a legal team that meets the counseling needs of the company.

Qualifications: Juris Doctorate Degree. Active License to practice law. 10+ years of practice as an attorney in the pharmaceutical or biotech industry, including in-house experience. Significant experience supporting branded pharmaceutical products and counseling the business regarding franchise and/or therapeutic area strategy, particularly with specialty pharmaceutical and/or rare disease products, including counsel regarding promotional, pricing, and contractual matters. Experience negotiating and drafting market access, distribution, supply, manufacturing, and other commercial agreements. Ability to build consensus with diverse stakeholders and third parties and form strong, collaborative working relationships with clients. Ability to manage a significant number of projects simultaneously and thrive in a dynamic and fast-paced environment. Ability to operate independently. Strong communication skills and executive presence when leading or acting in supporting roles with customers, suppliers, peers, and senior management. Proven analytical capacity, superior financial and business judgment. Ability to recognize the business impact of legal advice.
