Corporate Counsel Duties: The candidate will be responsible for the formulation of contracting policies, procedures, methods, and standards. Contract management responsibilities include effective implementation within company objectives and requirements. Advises management of contractual rights and obligations and provides an interpretation of terms and conditions. Reviews, drafts, and negotiates contracts including but not limited to agency and broker agreements, non-disclosure agreements, vendor contracts, finance agreements, employment, and independent contractor agreements, software licensing marketing, and professional services. Provides advice and input on leases and property matters. Advises staff on routine legal matters, including subpoenas, requests to produce, and subsequent responses. Monitors and defends against trademark abuse. Responds to all regulatory inquiries and insurance department complaints. Drafts, reviews and negotiates sponsorship opportunities. Supports senior leadership in analyzing key elements of the Company's legal issues. Transactional work includes but is not limited to in-house account and book sales along with traditional M&A activities. Creation of entities and related documents such as Operating Agreements and Corporate By-Laws. Litigation management of suits including but not limited to employment law, restrictive covenant, and professional liability matters to include selection and direction of outside counsel and review and approval of related invoices. Attends mediation, settlement conferences, and trials as needed. Provides legal advice during producer onboarding experience. Advise HR on employment law issues. Contributes to the development of departmental procedures, practices, and strategy by reviewing current processes and making recommendations for process improvements and best practices to improve the individual, team, and organizational effectiveness.

Qualifications: The candidate should have Juris Doctor from an accredited law school and a license to practice law. A minimum 3+ years of legal experience or a combination of legal and management experience. Basic knowledge of insurance and insurance agency operations. Outstanding verbal/written communication skills. The ability to self-start, prioritize work tasks and manage projects. Proficiency in the Microsoft suite of products. Ability to spot and research legal issues. The high degree of detail orientation. Ability to work independently or as a team player. Ability to inspire teamwork and improve efficiency.
