Corporate Counsel, Commercial The candidate will provide legal support globally for customer-facing parts of the business, i.e., Sales, Customer Support, and Professional Services. Includes contract negotiation, drafting and maintaining forms and standard terms, training on and enforcement of company policies, coordinating with finance and other departments on approvals process and record-keeping for deals. GSA compliance management (working with the outside contractors). Develop standard contracts and draft exceptions, review and approve all non-standard agreements, variation letters, special terms, etc. Review and approve all program documents and work with Channel Ops closely on management of the channel. Daily review and approval of contracts, SOWs and correspondence. Anti-corruption/FCPA annual training program. Draft guidelines and playbooks to aid business units with negotiations and compliance with laws and company policies. Data Security and Privacy matters as applied to customer interactions and deals. Includes project managing review of requirements by Avid CISO and other subject matter experts, managing risk and requirements in customer contracts and interfacing with insurance. Work with supply-chain management and trade compliance. General legal support as needed for internal investigations, M&A support, marketing review, HR matters, real estate, utilities and facilities matter, etc. The candidate should have a Juris Doctorate degree or LLM and admission to a State Bar. Should have 5 years of experience, in-house corporate experience a plus. Experience negotiating complex commercial transactions. Familiarity with subscription and Software as a Service business model. Flexibility and willingness to work on a broad variety of legal matters. Ability to work independently, providing high-quality legal advice with little supervision. Ability to form strong working relationships with internal clients while maintaining firm adherence to legal standards. Strong work ethic, good organization skills, and experience managing multiple projects simultaneously. Superior interpersonal skills, dynamic and team-oriented.
