Senior Corporate Counsel

Senior Corporate Counsel Responsibilities: Drafting, negotiating, and reviewing complex commercial agreements including, without limitation: inbound services agreements, SaaS agreements, inbound and outbound licensing agreements (including enterprise licenses), sales, development, and other types of commercial contracts relating to hardware and software products. Collaborate with IP counsel and compliance counsel to ensure that identified risk is managed properly. Interface with, and, as necessary, conduct training of various business units domestically and internationally to understand key IP and commercial requirements, and to ensure commercial contract terms comply with corporate directives, policies and procedures. Drive continuous improvement to existing legal templates, legal and business processes, and legal support models, including contracts administration procedures and processes. Handle and complete special assignments or projects at the direction of the Associate General Counsel or the General Counsel. Build and maintain business relationships and gain trust of internal clients while maintaining adherence to legal standards.

Qualifications: Active member of the California or Texas Bar. 10+ years of experience drafting and negotiating technology commercial transactions (hardware and/or software) in either a law firm or in an in-house corporate setting. Semiconductor experience or related technology transaction experience is preferred. Strong interpersonal skills, including effective verbal and written communication skills and good listening skills. Excellent time-management and organizational skills. Proven ability to handle difficult situations and solve problems creatively and pragmatically with a global perspective by providing business clients advice on various legal risks, business strategies, and other issues related to commercial transactions, engineering, product development, and business operations in a dynamic and fast-paced environment. Ability to work independently and as part of a team and possess superior work ethic and commitment to professionalism.
