Corporate Governance Attorney Lead Consultant

Corporate Governance Attorney Lead Consultant Responsibilities: Perform research, rule check, and drafting related to Parent Annual Meeting, Proxy Statement, Engagement. Perform research for Allcorp board and committee materials planning. Perform research for 34 Act reporting and insider trading. Assist in preparation and review of the following forms/statements: Form 10-K/Q, State filing statement, Form 11-K, Form 8-K, Forms S-1, S-3, and S-8, as applicable, for Allstate Financial product offerings, equity compensation and incentive plans, 401(k), and deferred compensation plans. Assist with Section 16 and insider trading compliance processes including research, forms preparation and review, and blackout period participant identification. Perform due diligence; gather all relevant facts and documents; collaborate with Law Clerks, Paralegals, and/or other Attorneys in due diligence. Draft, review, and/or negotiate basic matters and agreements. Perform bill/file reviews and perform budget oversight. Retain, supervise, manage, and coordinate work with Outside Counsel, if applicable.

Qualifications: Bachelor's Degree or equivalent. Juris doctorate and a license to practice law in the state of residence (and/or other states as required). Should have 3+ years of related experience. Computer skills including MS Office suite. Legal knowledge, business knowledge, issue management, analytical skills, influencing others (inside and outside the company), coaching and development, self-development, and productivity. Budget management skills. Strong project management skills and law firm/vendor management experience. Utilizes subject matter expertise to coach and guide less experienced team members.
