Corporate Counsel The candidate will manage, negotiate, and execute various types of contracts (NDAs, MSAs, Service Orders, Statements of Work, partnership agreements, and vendor contracts). Use independent judgment and/or work with outside counsel to determine the risk of accepting deviations from standard contract terms. Solicit input from relevant stakeholders for incorporation into agreements. Understand our product pricing and how it relates to revenue recognition rules. Draft and maintain templates for all standard contract documents, working with outside counsel and senior management to continually evaluate our standard contracts for software industry best practices, minimizing risk and decreasing turnaround times. Maintain a contract workflow to reduce turnaround time from request to signature. Prepare contract documents for customer signature. Maintain a library of standard responses to redline requests from prospects and leverage this library to accelerate the contract process with each new prospect. Maintain contact databases for current and expired contracts by creating and updating services, fee schedules, and contact information in relevant systems. Manage subscription management program auditing customer usage against contract parameters. Be the point of contact for both internal and external customers for legal and contract-related inquiries. Develop and coordinate a program to aid with compliance with applicable privacy regulations (i.e. Privacy Policy, Privacy Shield, etc.). Provide counsel and guidance relating to compliance with contracts and regulations and industry best practices. Educate and provide internal training to employees relating to legal and compliance topics. Manage and coordinate SOC2 audit. Maintain and update disaster recovery and business continuity plans. Maintain trademark portfolio. General corporate transactions (e.g., entity structure, financing). Coordinate with outside counsel, as needed. Support corporate governance activities. Support requests from other departments, as needed. Other duties as assigned.

The candidate should have a Juris Doctorate and be licensed to practice law in at least one state. Should have 3-6 years of experience including In-House experience. General knowledge of contracts and related topics. Excellent computer skills, including Word, Excel, database management, and record-keeping. Experience communicating effectively with internal and external customers and with all levels of the company. Excellent interpersonal and negotiating skills. Excellent organizational skills. Experience with successful process implementation. Previous SaaS experience is a plus. Data Security/Privacy/Compliance (GDPR) experience desired. Salesforce and Conga experience preferred. Ability to be a positive team player, willing to grow and change. Successful completion of a background screening process including, but not limited to, employment verifications, criminal search, OFAC, SSN Verification, as well as credit screening, where applicable and in accordance with federal and local regulations.
