Corporate Mergers and Acquisitions Attorney The candidate will provide legal counsel on a broad array of corporate and transactional topics in support of the Corporate/M&A Team leader, advising the businesses, functions, and corporate governance teams regarding relevant legal issues, including mitigation of legal risk and transaction execution. Provide legal counsel and transactional support/process leadership for mergers and acquisitions and equity investments in coordination with corporate development, local counsel, subject matter experts, and business teams. Advise functional teams, including tax and treasury, regarding corporate law implications of initiatives. Provide substantive legal support to the treasury team in connection with international treasury operations, often in coordination with outside counsel and internal subject matter experts. Participate in the Corporate Secretarial Team by ensuring compliance with corporate laws while enabling business operations outside of the United States. Support the Corporate Secretarial function by drafting and reviewing organizational documents, board and shareholder resolutions, and governance-related communications. Provide substantive training and education to directors and officers of global subsidiaries in alignment with organizational culture and operational practices. Coordinate with in-house specialists, as well as outside counsel, to secure necessary expertise to ensure that project needs are met.

The candidate should have a Juris Doctor (J.D.). Member of a US State Bar. Should have 5 years of relevant legal experience, including high-volume experience providing mergers & acquisitions transactional and corporate law support. Confidence in formulating and delivering practical, business-oriented legal advice in a concise and collaborative manner. A creative mindset and enthusiasm for corporate law and execution of business transactions in an international environment. Strong writing, communication, and organizational skills. Demonstrated ability to effectively partner and communicate with geographically disbursed business associates, functional partners, and legal colleagues. Ability to prioritize needs, handle ambiguity and handle a variety of matters with competing priorities in a fast-paced environment. Ability to travel up to 10% to various Gore office locations in Arizona, Delaware, Europe and Asia (travel level could be higher if not based in Newark, DE, or Phoenix, AZ area). Blend of private practice and in-house experience, Experience working across regions in a global organization. and Experience supporting early-stage investments in pre-commercial technology and life sciences companies is preferred.
