Corporate Counsel The candidate will report to the Executive Director, Legal, the Corporate Counsel provides legal transactional support for the Company's various departments. Draft, negotiate, review and process various legal documents and all types of contracts including confidentiality agreements, vendor services agreements, master agreements, task orders, consulting agreements, advisory board agreements, clinical trial agreements, and research agreements. Draft, review, revise, and negotiate a wide range of transactional agreements for the Company, which may include confidentiality agreements, various vendor services agreements, master agreements, manufacturing and supply agreements, consulting agreements, materials transfer agreements, advisory board agreements, change orders, task orders, license agreements, and software licenses. Maintain and update department contract templates. Define risks and efficiently communicate those risks to appropriate internal decision-makers for discussion and resolution. Interact with various internal clients and functional groups to effectively address legal and business questions and provide guidance as well as practical solutions. Advice on the interpretation of existing agreements. Follow and implement department processes to maintain transparency of legal review/negotiation for internal clients and track the status of current contracts. Handle miscellaneous legal tasks on an as-needed basis under the direction of the Executive Director, Legal. Should have a J.D. from an ABA-accredited law school or an equivalent degree. Admission to a U.S. state Bar and active license to practice law. Should have 4+ years of relevant industry experience and/or law firm experience. Experience at a pharmaceutical or Biotechnology Company preferred. Experience with life sciences transactions is a plus(especially in the areas of contracting with academic institutions, global clinical sites, and commercialization vendors). Must have strong computer skills (e.g., Microsoft Office suite - Word, Excel, PowerPoint, etc.), workshare, experience with document management systems, Internet).
