Corporate Counsel - Business Development

Corporate Counsel - Business Development The candidate will be providing high-quality and effective legal advice and counsel to legal and business team members on a broad range of topics and matters. Will be assisting in structuring, negotiating, and implementing commercial transactions such as strategic partnerships, vendor contracts, licensing agreements, software and technology development agreements, marketing alliances, and PR/advertising arrangements. Reviewing contractual frameworks, agreements, policies, and processes associated with our service plan business for purposes of regulatory compliance with federal (e.g., TCPA, RESPA), state (e.g., home warranty laws and regulations), and local requirements. Identifying and analyzing legal issues, and effectively communicating sound, understandable legal recommendations to the appropriate business team members. Actively participating in a collaborative manner in cross-functional business teams to identify, evaluate, and resolve complex business issues and to create legally compliant approaches that meet the business objectives of new ventures. Willingness to handle other projects and matters as may be assigned from time to time. Working with outside counsel on various legal matters as appropriate. The candidate should have a JD degree with 2-3 years of legal experience, preferably in a law firm or in-house legal department handling corporate and transactional matters, although willing to consider strong candidates with other experiences. Experience in Internet, digital or technology law, intellectual property transactions, complex regulatory environments, consumer protection law, and/or as a corporate generalist, is a strong plus. Top academic record and large firm experience preferred. Must be tech-savvy and possess a strong willingness to learn. Should have Good standing in an applicable State Bar.
