Assoc. GC, International Advisory Investments Attorney Responsibilities: Provide legal advice to the business and boutique counsel on cross-border marketing, promotion, and sales of US investment products and provision of advisory services to investors in Asia, Europe, Australia, and other jurisdictions. Negotiate intra-group distribution agreements, services agreements, investment advisory agreements, and third-party placement agent agreements. Assist in the preparation and annual update of country-specific marketing and advisory guidelines for sales staff. Advise boutique legal and compliance teams on the implementation and monitoring of these guidelines. Ensure a consistent cross-border marketing approach across boutiques. Provide full-service legal support to Japanese and Korean offices in partnership with local counsel. Identify, research, and advise on domestic and international legal developments, regulations, and practices that affect international distribution and provision of investment advice to overseas clients. Support non-US-based boutiques that are SEC-registered investment advisors on the impact of US laws, ownership, and seed capital in non-US funds. Support US-based affiliated asset managers in identifying the impact of foreign investment advisory laws. Work closely with internal business clients on regulatory issues, and general legal and corporate governance matters related to international operations. Prepare legal updates for board meetings of Asian-based boutiques. Support, US/AU boutiques seeking to do business in the EU and Asia through EU and Asian boutiques; and support EU and AU boutiques seeking to do business in the US through US boutiques. Support International M&A opportunities.

Qualifications: JD and admission to the NY Bar. Experience working as an investments advisory attorney at a law firm or another asset manager. Knowledge of the Investment Advisers Act. Experience negotiating intra-group distribution agreements, services agreements, investment advisory agreements, and third-party placement agent agreements. Experience working with senior business leaders. Strong skills in managing outside counsel and controlling legal spending. Attention to detail and ability to manage multiple concurrent projects and demands while meeting deadlines. Willingness to learn laws of jurisdictions other than the U.S. Superior written and oral communications skills, excellent analytical, problem-solving and interpersonal skills. Preferred Qualifications: Familiarity with legal issues relating to cross-border marketing, distribution and asset management; Locally licensed EU/Japanese/Korean/Australian asset managers; South Korean cross-border DIM license; US broker dealer laws, ERISA, 40 Act, and Commodities Exchange Act - CPO/CTA requirements; EU fund structures and Asian fund structures; EU/Asian laws applying to US advisers offering U.S. products overseas; The GDPR and international data privacy considerations; and EU regulations including MiFID, UCITS, AIFMD, SFDR, CBD, and changes to UK laws post Brexit.
