Corporate Counsel, Legal - US Hospital Products The candidate will review, draft and negotiate a variety of customer contracts with healthcare organizations, group purchasing organizations, wholesalers and distributors for medical devices, intravenous solutions and/or pharmaceuticals. Provide day-to-day legal counseling on marketing, sales and healthcare legal matters. Participate as legal representative on various cross-functional teams and projects. Coordinate with other legal department subject matter experts to provide guidance on compliance with the Anti-Kickback Statute, applicable antitrust laws, and ethics and compliance policies. Stay current with legal, regulatory and governmental developments impacting the U.S. and Canada. The candidate should have a JD or international equivalent from a nationally or internationally recognized institution. Should have 5-8 years of demonstrated professional legal experience, including at least 5 years of experience in an in-house, corporate environment with a high level of complexity, or substantially equivalent direct counseling experience within a major law firm. Experience reviewing, drafting and negotiating a variety of commercial contracts, including those with group purchasing organizations, healthcare organizations, wholesalers and distributors. Good working knowledge of healthcare and other laws, regulations and industry codes applicable to medical device and pharmaceutical companies, including the Anti-Kickback Statute, FDA regulations, and US antitrust laws. Knowledge and understanding of key terms and concepts in commercial contracting (e.g., payment terms, indemnities, warranties, etc.). Experience with counseling customer-facing business clients and sales organizations. Good analytical, research, drafting, negotiating, communication, and relational skills. Thrives in a fast-paced environment. Proven ability to prioritize workload and meet deadlines in a busy environment with competing priorities. Consistently and broadly recognized achievement of the Legal Department's Professional Standards. Fluency in English.
